1. Introduction & Acceptance of Terms
Welcome to AppDeel. We're a website design and development studio based in Dhaka, Bangladesh, serving clients locally and internationally. These Terms & Conditions ("Terms") govern any project, service, or agreement between AppDeel ("we," "us," "our") and you ("Client," "you," "your").
By enquiring about our services, accepting a quote, making a payment, or engaging us for a project, you agree to be bound by these Terms. If you don't agree with any part of these Terms, please don't proceed with our services, and feel free to contact us with questions first.
2. Definitions
To keep things clear, here's what a few key terms mean in this document:
- "Client" — the individual, business, or organization that hires AppDeel for a project.
- "Project" — the specific work agreed upon between AppDeel and the Client, as outlined in a quote, proposal, or written agreement.
- "Deliverables" — the final outputs of a project, such as a website, application, store, or design files, handed over to the Client upon completion.
- "We/Us/AppDeel" — refers to AppDeel and its team.
3. Services We Provide
AppDeel offers the following services:
- Business website design & development
- Ecommerce stores
- Shopify & dropshipping stores
- Landing pages
- Booking/appointment websites
- Education/course websites
- Custom business applications
- SEO (search engine optimization)
- Website security & maintenance
The exact scope of work for any project will be defined in a quote or proposal shared with you before work begins.
4. Quotations, Pricing & Payment Terms
Quotes: We provide a free quote within 24 hours of receiving your enquiry. Our pricing is fixed and clearly agreed upon before any work starts — there are no hidden monthly fees added later without your knowledge.
Payment structure: Depending on the project size, we may require:
- An advance payment before work begins, and/or
- Milestone-based payments at agreed project stages, with the final balance due before final handover/launch
Accepted payment methods: Visa, AMEX, PayPal, and bKash.
Late payments: If a payment is delayed beyond the agreed due date, we reserve the right to pause work on the project until payment is received. Repeated or extended non-payment may result in project cancellation, in which case amounts already paid for completed work are non-refundable (see Section 11).
5. Project Timeline & Client Responsibilities
We provide estimated timelines for each project based on its scope. To keep things on track, the Client agrees to:
- Provide required content, text, images, branding materials, and any necessary account logins in a timely manner
- Respond to review requests, questions, and feedback promptly
- Approve designs and milestones within a reasonable time so the project can move forward
Delays: If a delay is caused by the Client (for example, late content submission or slow feedback), the original timeline may be pushed back accordingly, and this will not be considered a delay on our part.
6. Revisions & Scope Changes
Each project includes a reasonable number of revisions during the design and development stages, as outlined in your quote or proposal.
- Included: Minor design tweaks, layout adjustments, and feedback-based changes within the originally agreed scope.
- Billed extra: Requests that go beyond the original scope — such as new pages, new features, additional design concepts, or a change in project direction — will be quoted separately and require your approval before we proceed.
We'll always let you know clearly if a request falls outside the original scope before doing the work, so there are no surprise charges.
7. Approval & Launch Process
We believe in keeping you involved every step of the way. Here's how it typically works:
- We share design previews and mockups with you at key stages of the project.
- You review and approve each stage before we move to the next.
- Once development is complete, we share a final preview for your review.
- Upon your final approval, we proceed with launching the website or handing over the deliverables.
Launch will only happen after you've given explicit approval (via email, WhatsApp, or written confirmation).
8. Post-Launch Support & Maintenance
Free support: We provide 30 days of free support after launch, covering bug fixes and small changes to the delivered project.
Free training: We also provide free training after launch so you and your team know how to manage and update your website confidently.
Ongoing maintenance: After the 30-day free support period, we offer paid maintenance plans for ongoing updates, security monitoring, backups, and support. These are optional and only apply if you choose to continue with us.
9. Ownership & Intellectual Property
Once a project is fully paid for and delivered, the Client fully owns the website, domain, and content — including source files, design assets, and any custom code created specifically for the project. There's no lock-in: you're free to move your website to another host, developer, or agency at any time.
Portfolio use:We may showcase completed projects in our portfolio, website, or case studies to demonstrate our work, unless you object in writing (email us and we'll happily leave it out).
Third-party assets: Any third-party themes, plugins, stock images, fonts, or licensed tools used in the project remain subject to their own respective licenses.
10. Third-Party Services Disclaimer
Our projects are often built using third-party platforms and services, including but not limited to WordPress, Shopify, WooCommerce, Next.js, hosting providers, domain registrars, plugins, and payment gateways.
We do our best to choose reliable, reputable providers, but we are not responsible for outages, pricing changes, policy changes, or issues caused directly by these third-party platforms or services. Any ongoing subscription costs for these tools (e.g., hosting, domain renewal, premium plugins) are separate from our service fees and are the Client's responsibility unless otherwise agreed.
11. Refund & Cancellation Policy
- Advance payments are non-refundable once work has started, as they cover time, planning, and resources already committed to your project.
- Milestone payments already made for completed stages of work are non-refundable.
- If the Client cancels a project before work has started, any advance paid may be refunded minus a reasonable administrative fee, at our discretion.
- If we are unable to deliver a project due to reasons within our control, we will discuss a fair resolution, which may include a partial refund for undelivered work.
12. Confidentiality
Both AppDeel and the Client agree to keep confidential any sensitive business information, account credentials, project details, or data shared during the course of the project. This information will only be used for the purpose of completing the agreed work and will not be disclosed to third parties without consent, except where required by law.
13. Limitation of Liability
We work hard to deliver high-quality websites and applications, but please note:
- We do not guarantee specific SEO rankings, website traffic, leads, or sales results, as these depend on many factors outside our control (search engine algorithms, market conditions, competitor activity, etc.).
- We are not liable for indirect, incidental, or consequential damages arising from the use of your website or our services, including loss of revenue or data, beyond the amount paid for the specific service in question.
- While we follow security best practices, we cannot guarantee that any website or application is 100% immune to hacking, downtime, or technical issues, especially those caused by third-party platforms.
14. Force Majeure
We won't be held responsible for delays or failure to perform our obligations due to events beyond our reasonable control, including but not limited to natural disasters, internet or power outages, government restrictions, strikes, or other unforeseen circumstances.
15. Termination of Agreement
Either party may terminate a project agreement with written notice (email or WhatsApp) if:
- The other party breaches a material term of the agreement and fails to resolve it within a reasonable time after being notified, or
- Continuing the project becomes impractical due to circumstances such as prolonged non-response or non-payment.
Upon termination, the Client is responsible for payment of all work completed up to that point, and any deliverables completed and paid for will be handed over.
16. Governing Law
These Terms are governed by the laws of Bangladesh. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
17. Changes to These Terms
We may update these Terms from time to time to reflect changes in our services or business practices. Any updates will be posted on this page with a revised "Last updated" date. Continued use of our services after changes are posted means you accept the updated Terms.
